Easier Mergers for Investment Funds: New Investor Voting Rules

This law changes the rules for merging closed-end investment funds. It simplifies the approval process for mergers, especially when investor turnout at meetings is low. Thanks to the new provisions, merger decisions can be made by a majority of present investors, even if they do not represent a majority of all certificates.

The required approval threshold for fund mergers has been reduced from 'at least 2/3' to 'more than half' of the total number of investment certificates.
The possibility of calling a second investor meeting has been introduced if turnout was low at the first. If turnout remains low after two meetings, the merger can be approved by a majority of investors present or represented.
