New rules for companies: shareholder registers and data protection

The act amends the Commercial Companies Code, mainly regarding shareholder registers and the protection of their personal data. For ordinary citizens, this means their data, such as home address or PESEL number, will be better protected from other shareholders. The new regulations also simplify procedures related to shares, for example by allowing electronic consent.
Key points
Data protection: a shareholder's home address and PESEL number will not be disclosed to other shareholders.
Electronic consents: consent for an entry in the shareholder register can be submitted online (e.g., using a trusted signature).
Company obligations: the management board will have to report the agreement on maintaining the shareholder register to the registry court.
Standardization of rules: the division into registered and bearer shares has been abolished for many types of companies.
Penalties: failure to report data to the shareholder register is punishable by a fine, restriction of liberty, or imprisonment for up to one year.
